Mike

A legal AI workspace for government contracts law firms

Government contracts firms use Mike to read solicitations and awarded contracts, list the clauses and flow-downs that apply, compare proposals and subcontracts against requirements, and draft protests, claims and responses. Each answer cites the page or section it came from, so counsel can verify it.

Attorney: Compare the draft subcontract to the prime contract flow-down requirements and list anything missing. Then draft the missing clause.

Mike: The prime contract requires that four clauses be passed to every subcontractor [1]. The draft subcontract includes three of them [2]. It omits the audit and records access clause, which the prime requires for any subcontract above a stated value [3]. I drafted that clause using the prime contract's own wording, and added it as a tracked insertion.

  1. [1] Prime contract, § H.7, p. 52
  2. [2] Draft subcontract, Art. 14, pp. 21 to 23
  3. [3] Prime contract, § H.9, p. 53

Example matter. Names and documents are fictional.

A government contract is a stack of documents: the solicitation, amendments, the schedule, incorporated clauses and attachments. Obligations hide in cross-references. Mike reads the whole set together, follows the references, and shows which requirement comes from where.

Cuanto Labs loads your clause review checklists, subcontract forms and protest templates into Mike and connects it to your client folders. Proposal drafts and pricing documents that clients share stay within your firm's own installation.

What Mike does for your practice

Solicitation analysis
Mike reads a solicitation with its amendments and lists the submission requirements, evaluation factors, deadlines, set-aside terms and required certifications in a table, with a citation for each item and a note when an amendment changed an earlier statement.
Flow-down review
Upload a prime contract and a draft subcontract, and Mike lists the clauses the prime requires to be passed down, shows whether the subcontract includes each, and notes language that differs, so gaps are found before signature.
Compliance matrices
Mike compares a draft proposal to the solicitation requirements, line by line, and shows which requirement each section answers and which have no matching text. The table exports to Excel for the proposal team.
Protest and claim drafting
Ask Mike to build a chronology from the solicitation, the agency's evaluation notice and the debriefing, and to draft a statement of facts for a protest or claim. The draft is a Word document, and revisions show as tracked changes.
Contract modification tracking
Mike reads a contract and its modifications in order and shows the current state of each term, such as period of performance, funding, price and scope, so nobody works from a superseded version.
Case law and decision research
Mike searches case law through CourtListener on questions such as constructive changes, termination for default or the reach of a clause, reads the opinions, and checks each case citation against CourtListener. Board and tribunal decisions come from the sources your firm connects.

How we set it up for your firm

Clause review checklists
We load your checklists for the clauses and flow-downs you look for in solicitations and subcontracts, so each document is read against your list.
Solicitation extraction columns
We build Tabular Review templates with agency, vehicle, period, clauses, set-aside terms and deadlines, and match the columns to your trackers.
Protest and claim templates
We load your protest, claim and certification forms, with the statement of facts structure your team uses.
Amendment and modification ordering
We agree how solicitation amendments and contract modifications are named and filed, so Mike reads them in order and shows the current term.
Board decision sources
If your firm subscribes to board and tribunal decision sources, we connect them so Mike can search them beside case law.

Questions attorneys ask

Can Mike follow cross-references between clauses and attachments?

Mike reads the documents you load together, and it follows references such as incorporated clauses and attachments when those documents are in the project folder. If a referenced document is missing, it says so and names it. It cites the section it relied on, so an attorney can open the page and check that the reference was read correctly.

Where do regulations and board decisions come from?

Regulations, agency supplements and board decisions are connected per setup, from the sources your firm subscribes to. Mike's built-in search covers case law through CourtListener, and it checks case citations against CourtListener. Clauses incorporated by reference are read from the text in the project folder, so load the version that applies to the solicitation.

Can Mike build a compliance matrix for a proposal?

Yes. It reads the solicitation requirements and the draft proposal, and returns a table showing which section answers each requirement, with gaps visible. You can export it to Excel. The proposal team and counsel decide whether the response is adequate, because Mike matches text and does not judge how an agency will evaluate it.

Can Mike compare a subcontract against the prime's flow-down clauses?

Yes. Load the prime contract and the draft subcontract, and Mike lists each clause the prime requires to be passed down, whether the subcontract includes it, and where the wording differs, with the page for each. Counsel decides which differences are acceptable and which must be corrected before signature.

How quickly can Mike help with a protest deadline?

Protest deadlines are short, so firms keep Mike's workflows ready. A saved workflow can read the solicitation, the notice and the debriefing, build a chronology and produce a first statement of facts in Word. Counsel then writes the legal grounds and checks every record citation. Timing depends on your documents, and we set up your workflows during installation.

How does Mike handle a contract with many modifications?

Mike reads the base contract and every modification in order, then shows the current state of each term, such as period of performance, funding and price, with the modification that last changed it. If a modification is missing from the folder, the gap shows in the sequence. Counsel confirms the current terms against the signed documents.
