Mike

A legal AI workspace for tax law firms

Tax firms use Mike to read agency notices, returns, partnership agreements and workpapers together, build tables of the issues and amounts in dispute, and draft response letters and memos in Word. Every statement cites the page it came from, so the attorney can check the figures against the record.

Attorney: The agency proposes to disallow the 2022 consulting deduction. What does the file show about the payments? Draft the response.

Mike: The file supports most of the deduction. The notice proposes to disallow the consulting expense for lack of substantiation [1]. The consulting agreement describes the services and the monthly fee [2], and the ledger shows twelve matching payments [3]. No invoices for two months are in the file, so I flagged them in the draft response.

Tax matters turn on details spread over many documents: a notice proposes an adjustment, the return reports a number, the operating agreement allocates it, and a ledger supports it. Mike reads the set, finds where the figures diverge, and shows both pages, so you start from a clear picture of what the client reported and what the agency says.

Cuanto Labs installs Mike for your firm, connects it to the folders where your client files live, and loads your own memo and letter templates. Returns, ledgers and workpapers stay inside your firm's own installation.

What Mike does for your practice

Notice analysis
Mike reads an agency notice and lists each proposed adjustment, the tax year, the amount, the stated basis and the response deadline. It then finds the supporting return and workpaper pages for every item, so the response starts with the facts in one place.
Response letters and protests
Mike drafts the response or protest from your firm's template, stating the facts from the client file and citing each document. The attorney writes or approves the legal argument and the position taken before the letter is sent.
Entity agreement review
Mike reads partnership, LLC and shareholder agreements for allocation, distribution, capital account and transfer provisions, and tables them across entities, so a restructuring or transfer starts from what the documents actually provide.
Schedule and return extraction
Tabular Review pulls the same line items from many returns, schedules or statements into one table by year and entity. Attorneys see changes over time without retyping figures, and each cell links to the page it came from.
Transaction structuring memos
Describe the proposed transaction and Mike drafts the facts and background sections of the memo from the deal documents, then searches published case law on the questions you flag and reads the opinions before summarizing them.
Information document requests
When an examiner sends a document request, Mike sorts the requests by topic, finds responsive documents in the client folder, and drafts the cover letter and an index for the production.

How we set it up for your firm

Your client folders, connected
We connect Mike to the drive or document system where your tax files and client uploads are stored, so attorneys work from the file without re-uploading.
Your memo and letter templates
We load the opinion memos, protest letters, information request responses and engagement forms your firm uses, so drafts follow your structure and your house citation style.
Notice type playbooks
We turn the way your team handles each kind of notice, such as an examination letter or a penalty assessment, into a saved workflow listing the response deadline, the pages to gather and the letter to start from.
Year-by-year line item template
We set up a Tabular Review template with the line items you compare across years, such as gross receipts, deductions and basis, so returns from different years line up in one table.
Production index format
We load your index and cover letter layout for examiner productions, so responsive documents come back numbered the way the examiner expects.

Questions attorneys ask

Does Mike prepare tax returns or run calculations?

No. Mike is a legal workspace and not tax preparation software. It reads the figures in documents, tables them with page references and drafts letters and memos from them. Any computation that matters should be done and checked in the tools your firm already uses, and Mike can point you to the source numbers.

Can Mike work with the Code and regulations?

Mike searches published case law, and each case it cites is checked against CourtListener. Code sections, regulations and agency guidance are not checked that way. They come in through research sources your firm connects at setup or documents you load, and your own knowledge of them is not replaced. Every answer links to the pages it relied on, so the attorney can review them.

How does it handle spreadsheets and ledgers?

Mike reads documents in the matter folder, including spreadsheets, and can generate Excel files, so a table of payments or adjustments can come back as a workbook. For heavy modeling, your team's own tools remain the right place. Mike's role is to find, cite and organize what the records show.

Can Mike compare a notice against the filed return?

Yes. Load the notice and the return and Mike lists each proposed adjustment next to the line on the return it affects, with the page for both. Where the notice cites a figure the return does not show, it says so. Whether the agency's change is correct, and what position to take in the response, is the attorney's call, and any recomputation belongs in your own tax tools.

Can it help with an examination that has many requests?

Yes. Mike can sort an information document request by topic, search the client folder for responsive documents, and draft the cover letter and production index. The attorney decides what is produced and what is privileged, and reviews the final package. Each responsive document is cited so the production can be audited.

Can it follow an issue across several examined years?

Tabular Review can pull the same line items from each year's return into one table by year and entity, so a proposed adjustment can be traced across the examined period. The table links every figure to its page and exports to Excel. Mike does not prepare amended returns or compute penalties and interest, which stay in your tax software.
