Mike

A legal AI workspace for nonprofit law firms

Nonprofit firms use Mike to read bylaws, board minutes, gift and grant agreements, draft governance documents, and keep a table of each client's compliance dates. Every answer cites the document and page it came from, so a lawyer can confirm what the organization's own records say before advising the board.

Attorney: The board wants to lease office space from a director. What does our conflict policy require? Draft the approval resolution.

Mike: The lease needs disinterested approval. Section 4 of the policy requires the interested director to disclose and leave the room for the vote [1], and Article VII of the bylaws requires approval by a majority of disinterested directors [2]. The September minutes show no disclosure yet [3]. I drafted a resolution that records both steps.

Example matter. Names and documents are fictional.

Nonprofit clients rely on their governing documents, and those documents are often scattered: articles, bylaws, policies, minutes and restricted gift terms accumulate over decades. Mike reads them together, tells you what the organization has actually adopted, and shows where a proposed action needs a vote, a disclosure or a restriction to be honored.

Cuanto Labs sets Mike up against each client's governing documents, loads your bylaws, policy and minutes forms, and builds the gift review columns with your exempt organization lawyers. Donor and board information stays inside your own installation.

What Mike does for your practice

Governance document review
Mike reads the articles, bylaws and policies in a client's file and answers questions about approvals, quorum, committee authority and officer duties, quoting the provision and page. Where documents conflict or have been amended, it lists each version.
Conflict of interest questions
Ask whether a proposed transaction involving a director or officer needs board approval, and Mike reads the conflict policy, the bylaws and recent minutes, then lays out the steps the organization's own rules require and whether the file shows they were followed.
Minutes and resolutions
Mike drafts minutes and written consents from your firm's forms and the notes or agenda supplied, and checks them against the bylaws for notice, quorum and voting requirements before the attorney finalizes them.
Gift and grant agreement review
Tabular Review pulls restrictions, reporting duties, purposes, term and refund conditions from every gift or grant agreement into one table, so the organization knows what it promised and a lawyer can spot a conflict with a new proposal.
Compliance calendars
From the documents in a client's file, Mike extracts stated filing dates, report deadlines and renewal requirements into a table that your team can compare with its own calendar.
Formation, merger and dissolution drafts
Mike drafts articles, bylaws and plans of merger or dissolution from your firm's forms and the facts supplied, and searches published case law on questions such as directors' duties or the use of restricted funds, reading the opinions before summarizing them.

How we set it up for your firm

Governing document libraries
We connect Mike to where each organization's articles, bylaws, policies and minutes are kept, so attorneys do not re-upload them for every question.
Bylaws, policy and minutes forms
We load your bylaws, conflict policy, minutes and consent forms, so drafts follow your language and the choices you usually recommend to boards.
Gift and grant review template
We build a Tabular Review template with the fields your lawyers need from every restricted gift or grant agreement.
Matter folders per client
Each organization gets its own matter with an access list limited to the lawyers who serve it, so one client's governance records and donor information are not visible to another client's team.
Annual compliance workflow
A saved workflow reads a client's file for filing dates, report deadlines, renewals and board approvals due, and produces the table your team compares with its calendar.

Questions attorneys ask

Can Mike advise a board directly?

No. Mike is a workspace for lawyers. It reads the organization's documents, drafts resolutions and memos, and cites what it relied on, and the attorney gives the advice. That lets the lawyer answer a board's question from the organization's own records, while keeping judgment where it belongs. Every answer links back to the pages it was drawn from, so the board can see the basis for it.

How does Mike handle exemption and tax questions?

Mike reads the determination letters, returns and governing documents in the file, tables the facts that bear on a question, and searches published case law. It does not replace your tax and exempt organization expertise, and any computation or filing is done in your normal process. Authorities it cites link to their sources.

Will it keep track of what each organization has promised?

Tabular Review reads every gift and grant agreement and fills one row each with restrictions, purposes, reporting duties and term. That table is only as complete as the documents in the folder, and Mike marks cells where an agreement is silent. Lawyers can re-run it whenever a new agreement is added.

Can we use it for many small clients?

Yes. Each client organization is its own matter with its own access list, and saved workflows such as a bylaws review or an annual compliance check run on any matter. That makes a repeatable review practical for clients who could not support a large hourly engagement. You decide how your firm packages the work.

Can Mike check minutes for quorum and notice?

Mike reads the bylaws and the minutes and compares what the bylaws require for notice, quorum and vote with what the minutes record. It lists each mismatch with the page behind it, and missing notice documents are reported as missing. Whether a gap affects the validity of an action, and how to ratify it, is for the attorney to decide.
